1. Who we are
These Terms of Service (“Terms”) govern your use of the agentis platform operated by agentis GmbH, Torstraße 201, 10115 Berlin, Germany, registered with the District Court Berlin (Charlottenburg) under HRB 285323 B (“agentis”, “we”, “us”).
agentis is a business and professional service. It is designed for organisations and for individuals using it in a professional, commercial, research, or evaluation capacity. It is not intended for use by private consumers for personal purposes.
By accessing or using the Service you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.
2. Definitions
- “Service” — the agentis platform, including the web dashboard, API, CLI, and MCP server, as made available by us.
- “Account” — your registered agentis account, authenticated via our identity provider.
- “Agent” — an AI agent configured within your Account that accesses the Service programmatically via API key.
- “Bank Connection” — an authorised link between your agentis Account and an external bank account, established via Open Banking.
- “Bank Data” — financial information retrieved from your bank accounts through Open Banking, including balances, transactions, card data, direct debits, and standing orders.
- “Policy” — the set of rules you configure in agentis that control what data your Agents can access.
- “Open Banking” — the Account Information Services (AIS) provided under the EU Payment Services Directive 2 (PSD2) and related national implementations.
3. Public Beta
The Service is currently provided as a pre-release Public Beta. The Public Beta is subject to the following additional conditions:
- Access is granted at our sole discretion and may be revoked at any time.
- The Service may contain bugs, errors, or incomplete functionality. Features may be added, modified, or removed without prior notice.
- We may impose usage limits or restrict certain functionality during the Public Beta period.
- We may contact you to request feedback, usage data, or participation in user research. Such participation is voluntary.
- These Terms will be updated before general availability. Continued use after any update constitutes acceptance of the revised Terms.
4. The Service (Public Beta)
4.1 What agentis does
agentis is an autonomous finance platform that gives AI agents policy-controlled access to financial infrastructure. In its current version, the Service provides read-only access to your existing bank accounts via Open Banking (PSD2 Account Information Services). You connect your bank accounts, define data-access policies, and your AI agents can then view financial data within the boundaries you set.
Additional capabilities (including payment initiation and other financial services) will be introduced in future versions. These Terms will be updated accordingly before any new capabilities become available.
Specifically, the Service allows Agents (subject to your Policy configuration) to:
- View account balances (available and current)
- View and filter transaction history
- View card information and card transactions
- View direct debit mandates
- View standing orders
By design, agentis does not store your bank transaction history, balances, card data, direct debits, or standing orders in its own systems. Whenever an Agent or administrator requests this information, it is fetched live from your bank through Open Banking, filtered by your Policy, and returned in the API response. agentis only retains the minimum connection metadata required to identify the connected account and maintain the bank connection. Details of what is and is not stored are described in our Privacy Policy.
4.2 What agentis does not currently do
- No payments. The Service does not currently initiate, authorise, or execute any payments or money transfers. The current version provides read-only data access only.
- No financial advice. agentis is infrastructure software. Nothing in the Service constitutes financial, investment, tax, or legal advice. We do not recommend any financial decisions.
- No custodial services. We do not hold, store, or manage your funds. Your money remains with your bank at all times.
- No AI decision-making. agentis is a deterministic policy enforcement layer. We do not make decisions on your behalf. Intelligence resides in your AI agents; agentis only controls what data they can see.
4.3 Open Banking access
Bank Data is retrieved through licensed Open Banking aggregators (authorised Account Information Service Providers in the EU). When you connect a bank account, you are redirected to your bank to explicitly consent to data sharing. You may revoke this consent at any time through your bank’s own channels or by disconnecting the Bank Connection in agentis.
The scope and reliability of available data depends on your bank’s Open Banking implementation. Not all banks support all data types (for example, some banks do not expose card data or standing orders via Open Banking). agentis is not responsible for data that your bank does not make available.
Open Banking AIS consent has a limited validity period defined by PSD2 regulation (typically up to 180 days, with re-authentication requirements at shorter intervals). When the consent associated with your Bank Connection expires, you will need to re-authorise it through your bank.
5. Your Account
5.1 Eligibility and registration
The Public Beta is open only to participants who use the Service in a professional, commercial, research, or evaluation capacity — for example, businesses (including sole proprietors and freelancers), developers, researchers, and technical professionals evaluating the Service for their work or for their organisation. By registering, you confirm that you are not acting as a private consumer (Verbraucher within the meaning of § 13 BGB) and that your use of the Service is for purposes related to your trade, business, profession, or research activities.
You must register for an Account to use the Service. We may decline or revoke any registration at our sole discretion, including where we believe a participant does not meet the eligibility criteria above. You must provide accurate and complete information and keep your Account details up to date.
5.2 Security
You are responsible for maintaining the confidentiality of your Account credentials and all API keys issued under your Account. You must notify us immediately at [email protected] if you become aware of any unauthorised use. We are not liable for any loss arising from unauthorised access that results from your failure to safeguard your credentials.
6. AI Agent access
agentis is designed to be used by AI agents operating on your behalf. You acknowledge and agree that:
- You are responsible for configuring appropriate Policies before granting any Agent access to Bank Data.
- You are responsible for the actions of any Agent operating under your Account, including any data the Agent retrieves or processes.
- The Policy engine enforces your rules deterministically, but it cannot prevent misuse by an Agent that operates within its permitted boundaries. The suitability and safety of your AI agents’ behaviour is your responsibility.
- You must ensure your use of AI agents with financial data complies with all applicable laws and regulations, including data protection law.
7. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorised access to any part of the Service, other users’ accounts, or any systems or networks connected to the Service.
- Use the Service to aggregate, resell, or redistribute Bank Data to third parties, except as part of your own internal business operations.
- Reverse-engineer, decompile, or disassemble any part of the Service, except to the extent expressly permitted by applicable law.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service in a way that could harm, disable, overburden, or impair our infrastructure.
- Circumvent or attempt to circumvent any Policy controls, rate limits, or access restrictions.
- Share your Account credentials or API keys with unauthorised third parties.
We may suspend or terminate your access if we reasonably believe you have violated these restrictions.
8. Intellectual property
The Service, including all software, documentation, APIs, design, and branding, is and remains the property of agentis GmbH or its licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service in accordance with these Terms.
Your Bank Data remains your data. We do not claim any ownership of Bank Data retrieved through the Service. Our use of Bank Data is limited to providing the Service and is governed by our Privacy Policy.
9. Confidentiality
During the Public Beta period, non-public details about the Service (including features, roadmap, pricing, and technical documentation shared with you) are confidential. You agree not to disclose such information to third parties without our prior written consent. This obligation does not apply to information that becomes publicly available through no fault of yours.
10. Availability and support
We aim to provide the Service reliably but do not guarantee uninterrupted or error-free operation, particularly during the Public Beta period. We may perform maintenance, apply updates, or temporarily suspend the Service at any time.
Support during the Public Beta period is provided on a best-effort basis. We do not offer a service-level agreement (SLA) at this time.
11. Disclaimers
To the maximum extent permitted by applicable law:
- The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Free of charge. The Service is provided at no cost during the Public Beta period. No fees, subscription charges, or other payments are required to use the Service.
- Bank Data accuracy. We do not warrant that Bank Data retrieved through the Service is accurate, complete, or up to date. Bank Data is provided by your bank via Open Banking and may be subject to delays, omissions, or errors entirely outside our control. You should not rely on Bank Data obtained through the Service as the sole basis for financial decisions.
- Third-party services. The Service depends on third-party providers, including your bank, our Open Banking aggregator, and our identity provider. We are not responsible for the availability, accuracy, security, or performance of any third-party service. Interruptions, errors, or data issues originating from third-party providers are outside our control and responsibility.
- We do not warrant that the Service will meet your specific requirements, be compatible with all AI agent implementations, or operate without interruption or error.
- No reliance. The Service is infrastructure software provided for informational purposes. Nothing in the Service constitutes financial, investment, tax, or legal advice. Any decisions made by you or your AI agents based on data obtained through the Service are made at your own risk.
12. Limitation of liability
The Service is provided free of charge during the Public Beta period. The following limitations apply to the fullest extent permitted by German law, taking into account the gratuitous nature of the Service (§ 521 BGB by analogy):
- Unlimited liability. We are liable without limitation for damages caused by intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit); for injury to life, body, or health; under the German Product Liability Act (Produkthaftungsgesetz); and for damages arising from fraudulent concealment of defects (arglistiges Verschweigen eines Mangels).
- Exclusion for slight negligence. Given that the Service is provided free of charge, liability for slight negligence (einfache Fahrlässigkeit) is excluded in its entirety, including for breaches of essential contractual obligations (wesentliche Vertragspflichten), to the maximum extent permitted by law.
- Indirect and consequential damages. To the extent our liability is limited or excluded under this Section, this also applies to claims for lost profits, loss of data, business interruption, indirect damages, and consequential damages of any kind.
- Cap. In any event, where liability is not excluded under this Section, our total aggregate liability arising out of or in connection with these Terms shall not exceed EUR 5,000 per calendar year during the Public Beta period.
Specific exclusions
Without limiting the above, we are not liable for:
- Any loss or damage arising from the actions, decisions, or behaviour of your AI agents, even when those agents use data obtained through the Service.
- Any loss or damage arising from the inaccuracy, incompleteness, or unavailability of Bank Data provided by your bank or our Open Banking aggregator.
- Any loss or damage caused by the unavailability, malfunction, or security breach of any third-party service (including your bank, our Open Banking aggregator, our identity provider, or any other provider).
- Any loss or damage resulting from your failure to maintain the security of your Account credentials or API keys.
- Any financial decisions made by you or on your behalf based on data obtained through the Service.
13. Indemnification
You agree to indemnify, defend, and hold harmless agentis GmbH and its officers, directors, employees, and contractors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and costs of litigation) arising out of or in connection with:
- Your use of the Service in violation of these Terms or applicable law.
- The actions, decisions, or behaviour of any AI agent operating under your Account, including any financial or operational decisions made by such agents.
- Any third-party claim arising from your use of Bank Data obtained through the Service, including claims by data subjects, regulators, or business partners.
- Your failure to comply with applicable data protection law in connection with your use of Bank Data or configuration of AI agent access.
- Unauthorised access to the Service resulting from your failure to safeguard your Account credentials or API keys.
This indemnification obligation survives the termination of these Terms and your Account.
14. Force majeure
We are not liable for any failure or delay in performing our obligations under these Terms to the extent caused by circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, war or armed conflict, government actions or sanctions, cyberattacks, disruptions to internet infrastructure, failures of third-party services (including banks and Open Banking providers), power outages, or changes in applicable law or regulation.
15. Term and termination
These Terms remain in effect for as long as you have an active Account.
- Termination by you. You may close your Account at any time by contacting us at [email protected]. Upon closure, we will disconnect all Bank Connections and delete your API keys.
- Termination by us. We may suspend or terminate your Account at any time, with or without cause, during the Public Beta period. Where possible, we will provide reasonable advance notice.
- Effect of termination. Upon termination, your right to use the Service ceases immediately. Sections 8 (Intellectual Property), 9 (Confidentiality), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 14 (Force Majeure), and 17 (Governing Law) survive termination.
Data retention after termination is described in our Privacy Policy.
16. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will notify you via the email address associated with your Account at least 14 days before the changes take effect. If you do not agree with the revised Terms, you may close your Account before they take effect. Continued use after the effective date constitutes acceptance.
17. Governing law and dispute resolution
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict-of-law rules.
If you are a merchant (Kaufmann), a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Berlin, Germany.
Nothing in these Terms shall affect or limit any mandatory rights or protections that apply to you under the laws of your country of residence to the extent you qualify as a consumer under applicable law. Where mandatory consumer law applies, the provisions of these Terms apply only to the extent permitted by such law, and the remaining provisions remain in full force and effect.
18. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the economic intent of the original.
